Rent extraction by large shareholders: evidence using dividend policy in the Czech Republic

Using cross-sectional analysis of corporate dividend policy we show that large shareholders extract rents from firms and expropriate minority shareholders in the weak corporate governance environment of an emerging economy. By comparing dividends paid across varying corporate ownership structures - concentration, type, and domicile of ownership - we quantify these effects and reveal that they are substantial. We find that the target payout ratio for firms with majority ownership is low but that the presence of a significant minority shareholder increases the target payout ratio and hence precludes a majority owner from extracting rent. In contrast to other studies from developed markets, our unique dataset from the Czech Republic for the period 1996-2003 permits us to take account of the endogeneity of ownership. Provedením průřezové analýzy dividendové politiky firem demonstrujeme, že v prostředí rozvíjející se ekonomiky s nepříliš vyspělým mechanismem řízení firem získávají dominantní vlastníci ekonomickou rentu a okrádají minoritní vlastníky. Porovnáním vyplácených dividend podle jednotlivých vlastnických struktur (koncentrace, domicil a typ vlastnictví) kvantifikujeme tyto efekty a poukazujeme na to, že jsou značné. Dokumentujeme, že cílový dividendový výplatní poměr pro firmy s dominantním vlastníkem je nízký a přítomnost silného minoritního vlastníka zvyšuje výplatní poměr a zamezuje největšímu vlastníku v získávání ekonomické renty. Na rozdíl od ostatních studií z rozvinutých ekonomik nám náš unikátní soubor dat z České republiky za období 1996 až 2003 umožnuje vyřešit problém s endogenitou vlastnictví.

In the presence of the underground economy taxes give rise to a deadweight loss from displacement of efficient producers by inefficient producers. We consider an economy in which a producer faces two types of costs: the cost of production, and taxes. Economic theory assumes that taxpayers use their true marginal tax rate (MTR) to guide their economic decisions. However, complexity of the personal income tax system implies that taxpayers may incorrectly perceive true marginal prices and incentives. This study explores the characteristics of corporate charitable behavior in the Czech Republic and Slovakia. It is the first quantitative study for transition economies, analyzing data from surveys for 577 and 162 firms over three (2001-2003) and five (2001-2005) years in the Czech Republic, and for 152 firms over four years (2001-2004) in Slovakia, and the first study that distinguishes different channels of support, namely, sponsoring and giving. Tato studie se zabývá charakteristikou charitativního chování firem v České a Slovenské republice. Je to první kvantitativní studie v tranzitivních ekonomikách, která analyzuje data z průzkumů 577 a 162 firem v letech 2001-2003 a 2001-2005 v ČR a 152 firem na Slovensku v letech 2001-2004. Je to první studie, která rozlišuje různé způsoby podpory, konkrétně sponzorství a dárcovství.
